Leadership Transition at Ciena: Lawton Fitt Assumes Independent Chair Role

Ciena Corporation has elevated Lawton Fitt to the position of independent Chair of the Board of Directors, effective at the end of 2024. This significant governance move marks a transition in the networking software company’s leadership structure, with Patrick H. Nettles, Ph.D., stepping down from his role as Executive Chair to pursue retirement following the 2025 Annual Meeting of Stockholders.

A Three-Decade Financial Career Positions Fitt for Board Leadership

Lawton Fitt brings an extensive track record of executive experience and deep familiarity with Ciena’s strategic direction and operational priorities. Her career spans more than four decades, beginning with an 23-year tenure at Goldman Sachs & Co., where she rose to the rank of partner by 1994 and served as managing director through October 2002. Her investment banking background provides a strong foundation for overseeing corporate governance and financial strategy at an enterprise software and networking infrastructure company like Ciena.

Beyond her Goldman Sachs years, Fitt served as Director of the Royal Academy of Arts in London from October 2002 to March 2005, adding cultural and institutional management experience to her portfolio. She holds a bachelor’s degree from Brown University and an M.B.A. from the Darden School of Business at the University of Virginia, reflecting a commitment to continuous professional development.

A Long-Tenured Board Member Steps Into the Top Governance Role

Fitt’s appointment is not a newcomer’s ascension but rather recognition of institutional knowledge already embedded within Ciena’s board. She has served as a Director since November 2000—more than two decades on the company’s board—and most recently chaired the Audit Committee through the end of 2024. This extended tenure underscores continuity in Ciena’s governance and provides a smooth transition as the company navigates market dynamics in optical networking and infrastructure software.

A Structured Transition: Nettles Provides Support During Leadership Change

Patrick H. Nettles will remain a board member during the transition period, offering guidance to Fitt as she steps into the independent Chair position. This measured approach ensures institutional knowledge transfer and allows the company to maintain strategic coherence during the leadership shift. Nettles’ continued involvement as a director reflects a best-practice governance model where outgoing executives remain available to support their successors.

Expanding Board Representation Beyond Ciena

In addition to her Ciena responsibilities, Lawton Fitt currently serves on the boards of The Carlyle Group, L.P. and The Progressive Corporation, and previously held a director position at Thomson Reuters. Her multi-sector board experience—spanning infrastructure investment, insurance, and content—brings diverse perspectives to Ciena’s strategic deliberations and positions the company to benefit from cross-industry insights in an era of rapid technological and market change.
